No doubt that many company directors (and other professionals) have escaped prosecution in the past, but times have changed. Minority SH's these days are not accepting professional misconduct, especially from the people who are supposed to be trusted with looking after their investments.
Just google Class Action and you will find that many cases will be presented. Lawyers out there are enjoying the challenge. There are legal representative that will agree to a 'No Win No Fee' arrangement.
Deceiving your SH's is considered as misconduct.
