So EWI uses its insolvency trigger to force EWC in to payment.
EWC obviously can not repay EWI accepts shares in EWC, so all share holders including Chandler get diluted to a percentage that allows EWI take over.
Nothing Chandler can do about it unless he cough's up enough to maintain his % in EWC.
Will he or is it cheap to take the tax write off and chalk it up to experience.
