Yes if you ignore the 25c a share this dilution would bring in. EGA is going to need money to develop the resource and it needs to come from somewhere.
The stock is only fair value if there is no upside. The market seems to be assuming nothing more will be found in any of the other shears. This of course could be the case, but with a little luck EGA could be massively underpriced. This is why we love spec stocks
