The 4 cent question V read AGLs release date 1/7/10. The last sentence of the second non-bold paragraph states The price will be adjusted for any unpaid amount and for any dividends declared or return of capital to be paid prior to close of the transaction. Any payout would directly reduce the 15c offer.

The Employee Share Scheme is completely unrelated to anything AGL. Yes, it was lodged the day before the AGL offer was announced, but that it was decided and approved long before the Board or anyone at Mosaic had any knowledge of the AGL offer (which was not known to us until AFTER close of business on the 30th June, and announced to shareholders as soon as the market reopened). You will see that many companies lodged a similar share scheme announcements on the 30th June; the date (deadline) was driven by tax implications for lots of companies (and Mosaic). Aside from all that, the amounts that the staff received were pretty minimal, and definitely no one is getting in any way rich off it. Finally, our CEO is just not a rule-bender, and nothing shady is going to go down under his very careful watch.

Seriously, 100% legit: the Board has completely done everything with the shareholders best interests in mind; they have attempted to get other offers, and, as you will note in our release on the 14th, still have until 4th August to do so. Perhaps the hotcopper guys can pool some funds and offer 30c

AGL has been very smart in their proposal V particularly in locking up that 12.8% pre-bid agreement. While the Board obviously consulted advisors and lawyers while considering their options, they also took into account shareholder views V each and everyone was recorded, read and considered. It is of course impossible to make everyone happy in one of these scenarios, but the Boards decision did also concur with the majority of shareholder feedback received.
