Sophisticated investors ...the name is a oxymoron.... Simply means they have at least $3m in assets certified by a CA or CPA which allows them to participate in these such deals. By and large the Sofi's will flip there holding for a 10 to 50% profit be selling into the market ...

Here's how it works

1. Sofi buys shares on market say 3 million @ 4c for the sake of argument
2. Sofi then approaches the company wanting to participate (3 mill or more share ) in any upcoming cap raise directly or through a broker at a significant discount to the 10 day Vwap , but in this case lets say we know its 3.5c
3.Sofi gets notified that he will gets allocation of 3mill at 3.5c
4. Stock currently trading at 5.5c so Sofi sells his original 3mill at 5.5c knowing he/she will be able to replace them on issue day.
5. Stock opens at 5c on day they are issued ... Sofi Immediately sells and continues selling till all gone... , Instant profit.
6. Sofi knowing that there is a 90% chance stock will fall to Issue price will then refill at or near that price if he/she thinks the story still has legs to run..

Simply but effective strategy for scooping off large profits and on large investment $ amounts

So Just because you have the assets does not necessarily mean implied superior mental capacity investing skill or that they will hold the stock for any length of time going forward.
