When putting a bid in its normal for a company to approach large holders with a view to purchasing, as it gives their offer momentum.

I can not remember another offer where by a substantial holder gives the vast majority of their holding away at a zero premium to a group in which they have zero stake.

If they are that desperate for $11m then we're truely in trouble - if we are not then why chuck away $3m+ for no reason?. From what i've read we are not that desperate for cash so why agree to such a poor deal?.
