"If Village can sell Austereo for more than $400 million - and the stake appears worth that based on the radio group's earnings and the fact that the buyer will gain control - the proceeds will be equivalent to between $2 and $3 a Village share. However, as Grant Samuel pointed out in 2009, there is a capital gains tax liability that would chew up more than $100 million unless Village has sufficient capital losses as an offset.
If Village can keep a net $300 million and send half of it to the banks and the rest to shareholders as a capital return, the numbers start to move in favour of the Kirbys/Burke for privatisation."
The author suggests a $1.00/share capital return as well as debt reduction, then the major owners have more cash to buy out the other shareholders. Hopefully the SP rises a lot on confirmation of an Austereo sale, then the SP would fall by ~$1 after the capital raising, then they can buy us out for some amount, I'm guessing a premium.
So todays SP of $2.68 could rise further on confirmation fo a sale of Austereo, I don't know by how much...
Then the premium to buy out the remaining shareholders...I don't know, 30%?
My rough guesses - After Austereo sale news - SP $3.00 After $1 capital return - SP $2.00 To buy us out - $2.60 Total paid out from capital return and buyout - $3.60
$3.60 is about 30% higher than today's price. Not a bad upside, but I'd prefer higher. Lets hope I'm wrong!
