IF they are shut down in september, the conditions are not met and the offer is off the table. Worth nothing.
IF they are not shut down in september, they will be worth well north of 2.25 and they offer is not worth the time spent and the paper it is written on.
Unless there is something behind the scenes that has been cooked up, this is an absolute pie in the sky fantasy.
