AVEO has made Mulpha money thru intercompany loans (most of which are undisclosed and nice dividends. One has to look at the motivation of seller - i sure they will do ok out of it.
But if your sp is 2$ you aint going to receive offers at 50% premium - thats why you have 3 funds lined up. But as you say Directors still need to approve any deal but as usual in aussie transactions they look after themsleves and shldrs are a long way behind.
