Truth in takeovers requires every statement to be true but it is impossible to know what tomorrow's intention may be. So I would estimate that it is not meant to indicate that the directors will accept no matter what.
Further, they did not accept at the time of the bid. They could have done but instead they reserved their position (it seems) just in case the specified conditions were not satisfied (which is what has happened so far).
