As they explicitly wrote Mr. Chu Chung Yue, Howard is an executive director “as at the date of this announcement" (WNI: Supplemental Agreement to the Underwriting Agreement/bottom p.4) AND he is listed as a Non-Executive Director on ASX (Mr Chu, Howard Chung Yue (Non Exec. Director)) and homepage of BRM (Non-Executive Director/Howard Chu/Mr Chu, aged 62, …).
On the homepage of BRM they have omitted his being executive director in WNI !!
Please consider: (from Bidder’s Statement) ….they (the board) INTEND to accept the offer - is this formulation a binding contract for an obligating acceptance? Is it possible, that they do not really intend to accept? If so do they have the obligation to tell anybody (especially WNI) beforehand?
