To partially answer your question, the deal sets up really nice performance options for the directors of xTV, at 20c these options would be worth serious money and this might have been an enticement. This deal also allows the xTV director's to also keep control of the project as opposed to it being subsumed into a larger organization.
The other speculative idea I had, and please this is strictly a personal speculation that I have no evidence for, maybe the IZM directors are pretty confident with the RIO deal that IZM maybe earning significant money when it is needed at the back end of the xTV development process?
