Without knowing the contents of the actual term sheet document that was signed it is impossible to know whether there are binding parts to it or not. Even if there were binding components the company obviously did not see fit to include them in the announcement because they either don't full under rule 3.1 or are covered under exemption to rule 3.1 - 3.1A.3
