Presumably a trust issue. Some would possibly think that this could be a plan of management to buy back as many shares as possible, then release an announcement shortly thereafter that there will be a further capital return (as previously raised as a possibility). If this were to happen, then it would be beneficial for current shareholders, especially those that have a significant holding.
I guess having some knowledge of how many participated in the buy back could've been helpful yesterday (again, presuming there is a legal clause that permits some people from investing after the closing date of the UP Buy Back).
