Is NF really putty all his eggs in one basket, when or if TV2 goes belly up he can buy it back it for a nominal amount.

So i feel getting clarification around the two following points will basically tell us whether this whole IP transfer is merely some window dressing or actually has some substance to it in respect of NFs motivations.
1. What is meant by nominal? My experience in the accounting industry is its usually just that a nominal amount "a couple dollars". So NF is essentially going to reward himself with the issue of 1billion shares if this takes off, if not just buy it back for peanuts again if its goes belly up. It doesn't exactly instill confidence in me and makes this whole transaction merely window dressing.
The one positive which i see in this announcement which I need to do more research into. I'm assuming TV2 doesn't need to make any licensing payments taking the pressure off on cash flow, but i don't remember whether these where via cash payments or share issues.
2. What do they mean by reasonable endeavors to commercialise? So are they/NF saying they haven't been taking reasonable endeavors to commercialise. It all just feels a bit meh.
Just a punters thoughts.
