Look I know this whole game is a joke , but the directors assess the offer to see if it's fair & reasonable given all known factors - if there is no higher offer forth coming - then that's it . they wouldn't be recommending it if they didn't think it was fair - they could have just left it & waited to see if there is a better offer - but worse than that they have signalled their intention to sell into the 33 cent offer. they didn't wait to see what small shareholders thought of it.
