I think you're correct about the 'AND 50% of shareholders' however if this scheme fails and they have over 75% of shares acquired, they (the directors/tremont) can introduce a special motion and carry it forward themselves... so just be aware of that.
This won't lower the price of offer but it also won't increase it, what it will mean is that the scheme won't fail if they get 75% of shares.
50% of shares is called effective control (can pass any ordinary resolution at a meeting) and 75% is full control (can pass any special or ordinary resolution at a meeting).
I doubt this will be anyone's last takeover so good things to look at when evaluating a companies stock register.
