If the scheme doesn't get through then nothing changes from today but likely the price falls and Tremont just tries again.
It's unlikely to fail though, and if it goes through they will force sale of your shares and you'll receive a check at 33c per share (figuratively, you'll get money however you've signed up for).
No you won't get a better offer than everyone else if you say no. Either the scheme fails and nobody gets 33c or it passes and everyone gets 33c.
