The offer is open to Institutional, Sophisticated & Professional Investors Only (s708 Corporations Act) and qualified investors in approved jurisdictions (the United Kingdom, Hong Kong SAR, Republic of Singapore and the UAE).
Placement of Shares in AuStar to raise up to A$5.5m at $0.0045 per Share (“Issue Price”) through the issuance of 1,222,222,222 Shares. For every five (5) shares allotted pursuant to the Placement, one (1) AuStar Placement Option, exercisable at $0.01 and with a 2 year expiry, will be issued to participants in the Placement. Consideration will be given by the Company to listing the options at a future date.
The issuance of Placement shares and options in excess of the Company’s current issuance capacity under Listing Rules7.1 and 7.1A (173,282,272 securities) will be subject to shareholder approval at a meeting to be called directly after the Placement.
The Company intends, subject to shareholders approval, to make a follow-up offer of a share purchase plan to all eligible shareholders on the same terms as the Placement shares, to raise up to a further A$1m.
