Not correct. The form and substance of a MSA will vary greatly between contractors, clients, scopes, and industries. They are sometimes a product of lengthy negotiations on equal footing, sometimes a "take it or leave it" deal signed in a day. A MSA will usually have a zero revenue clause because to hint at revenue kind of screws with the structure of most MSAs (call off/as required). Therefore, excessive focus on a lack of guaranteed revenue may miss the intent and utility of a MSA, which is to agree general contracting terms on which to do recurring business. Old boy Loots will be all over any MSA. Best thing about them? Find a loophole and exploit again and again and again. Then repeat.
