So in exchange for no cash (that makes CCE books look better), CCE shareholders need to wait 2 years before they can actually cash out the shares they will receive in the sale. Essentially cost shifting. CCE looks in better shape (perhaps in increase in shareprice) in exchange for CCE shareholders not seeing a brass razoo in the transaction. If CCE shares don't go up, then CCE shareholders are screwed. I believe the company is nearly screwed anyway, but at least any shares MO would get from it are in escrow as well.
