It would depend on expert valuation. If the offer is determined to be fair and reasonable the directors are duty bound to recommend the offer. If it’s found to be fair but not reasonable or not fair and not reasonable then it still remains their call.
Having followed the recent RMS takeover for EXU I’ve realised that that the level of rigor in terms of valuations/disclosures sits dominantly with the target company in a TO, the acquirer can get away with all sorts of hand waving in respect to the merits of its own business case. Esh
