1) They can't raise their offer, they have declared it final. They are legally prevented from increasing it (unless another bid makes a better offer, which is pretty damned unlikely at this point)
2) The underwriter is irrelevant now. If DOW needed more cash for a higher bid, there's no way the could do another equity raising. They'd need to debt/cash fund it from existing sources. Alternatively they could offer some DOW scrip. All of this is a non starter unless SPO gets a competing bid, which as I said is super unlikely.
