A Company Secretary is not the PA or the receptionist as you are suggesting - it is a very senior and qualified or experienced person within the company that takes care of the company's compliance (with ASIC, etc), amongst other things (you don't want to get things wrong in this area).
A Company Secretary is an Officeholder of the company just like Directors are - the Company Secretary appears on ASIC's records right next to Directors (all are Officeholders).
ASIC and the market must be notified promptly of any changes in Officeholders.
