1.6 Director’s Independence
The present micro size of the company precludes meaningful compliance with the recommendation in relation to having a majority of independent directors.
When the scale of the company’s activities enable a return to full compliance, the following guidelines will be followed:
A majority of directors of the board should be independent of management, both in fact and appearance, as determined by the Board.
Under ASX Guidelines, an independent director is a non-executive director (i.e. not a member of management) and:

Resignation and Appointment of Non-Executive Directors
Optiscan Imaging Limited (OIL or the Company) announces the resignations of Mr Ian Griffiths and Mr Peter Francis as Non-Executive Directors, effective 23 April 2018. Given the significant board changes that have occurred, the new board would like to retain their engagement for a further 2 weeks to ensure that there is an opportunity to transfer their knowledge and benefit of their experience.
