Orion Petroleum Limited (Orion) and Gas2Grid Limited (Gas2Grid) jointly announce that they have entered into negotiations with each other in relation to a possible change in control transaction. The Boards of both Orion and Gas2Grid note that negotiations are at a preliminary stage and incomplete with both Boards being in discussions as to the structure and pricing of the transaction, amongst other things. The change in control transaction is being discussed on the basis of 1 Orion share for every 2.25 Gas2Grid shares. The Boards of Orion and Gas2Grid will keep the market informed with material developments in these negotiations, as appropriate.
