The fair value of the shares to be transferred has been estimated by management for the purposes of the Pro Forma Historical Financial Information to be US$0.20 per share based on the valuation of the equity of Paladin prepared by the Independent Expert in its report appended to the Explanatory Statement sent to Paladin shareholders on 22 December 2017 and adjusted for the pro forma net debt position and movement in cash and other net asset balances between 30 June 2017 and 31 December 2017.
