They will use PERSOL's cash. PERSOL has agreed to pay $3.02 cash for every share. Some of this may be reclassified as a divvy. I suspect that the divvy component will be loaned to PRG during the time difference between when then the cash is handed over and PERSOL gains legal ownership of PRG.
I note that PERSOL has set a minimum acceptance of 20% for the t/o. This is pretty low. But who wouldn't accept?
