Don't misrepresent the BDO opinion. They certainly didn't say the outcome was good for shareholders. They merely noted that voting yes to this deal will result in a better outcome for shareholders than voting no
You're probably confused by this distinction. By way of analogy - imagine a tour guy leads you down a dark and dangerous alley where a man with a gun appears and demands your money or he'll shoot you in the face.
The guide may then remark that giving the thief your money is the better of the two options. This does not mean handing over your cash is a good outcome for you, or that the guide should be congratulated for his advice
