The minimum bid price requirement stems from Section 5550(a)(2) of the Nasdaq's Equity Rules guide. It clearly states: "(a) Continued Listing Requirements for Primary Equity Securities: (2) Minimum bid price of at least $1 per share."

However, this has also conditioned companies the world over to equate the price with worthiness and there are a number of conditions or hoops to shore up your balance sheet and get the stock negotiation worthy with partners or potential owners.

As to the math issues that some have in regards to their expected stock price. Suggest perhaps the share price might surprise post consolidation and we will be playing with the kind of partners for which acquiring WBT at a substantial premium would be something they do all the time and that its chump change for them to do.
