    Apparently tax losses don't carry over when there is a substantial change in shareholder base. Either way, it seems there's no gain here for the exempt o/s investors.
    Reverse takeover is the term I'm hearing to describe these resolutions. Apparently this is an easier path to listing than pursuing an IPO...and about the same cost.
