Skalo your post tells me that the purpose of the funds was stated at the time of raising the funds, so I should not have read anything into it.

Spike, I get what you're saying. It seems to be a provision of the rules that a co can, at its discretion, place a certain amt of new stock to specific investors (i.e. sophisticated and professional) and not limit themselves to existing shareholders (which would entail more docs and cost).
