It is my opinion that all resolutions for the AGM should be voted down. If you don’t usually vote, then it would be appreciated by long term shareholders with much to lose, if you would consider doing so now.
Vote NO to Resolution 1 – (Why should Directors who have complacently watched the SP drop from 16 cents to .003 pay themselves when MOT is in financial distress?) Vote NO to Resolution 2, 3 & 4 – (This board has delivered nothing in 12 months, nor effectively communicated with shareholders(the Cypress deal example, the report was sent after the EGM called with minimal time to digest and verify)) Vote NO to Resolution 5 – (This was money raised for operating capital, what are their operating expenses?) Vote NO to Resolution 6 – (It looks like this board is giving away a third of your company for $150k in options. It’s a complete act of betrayal for all shareholders)
I concede, I may be wrong with some details, I don’t fully understand Resolution 6 in particular, so had an accountant explain it to me. (I suggest you do your own research here) This really has to stop. I can understand dilution of shares for a project which is going to bring in revenue and/or lift the SP – but it beggars belief that we have constant dilution forced upon us for the Board's operating expenses.
Isn't it about time that MOT is actually run like a normal business? – when there’s no money, people don’t get paid. It’s simply appalling that resolution 1. Is even listed for us to consider, how is this justified and why are we expected to reward poor performance?
Please make your vote count and Vote NO to all resolutions at the AGM. I will be attending in person and will again be lodging proxies, all voting down the resolutions.
