Without reading the terms of the HOA it's all pure speculation as to whether MLX can do anything about it. But I suspect the HOA would have contained a clause allowing for the termination in the event of a superior proposal, otherwise it would be bordering on incompetence of the board of TAM to enter into a HOA with NST with the almost certain prospect of litigation and potential compensation being paid. Likewise for the board of NST to enter into the transaction if they didn't feel they could secure the prized assets without a legal battle.
