Well, I am a small holder . . . and if the option were presented to me to purchase additional shares at a higher than market price, I would not take up that option. The proposition may well be different for a top 20 holder. If I wanted a few more shares, I would buy them at the lower price.

So the question is what pct of the shares under the scheme will be offered to small holders and what pct to large holders? I would guess that the majority will be offered to small holders who will not take them up. . . . leaving them to be taken up by the underwriters or the larger holders . . . a subtle way of squeezing out the smallholders.

Is it fair? Probably . . . . as everyone has the opportunity to participate.

Is it ethical? Probably not
