Getting a majority to support the move doesn't mean everyone supported it. And the "dills" under your definition included those writing the "expert report" since they recommended it. As often happens, it's just a matter of getting the big holdings to support a move, not the shareholder base.
Of course the technology has changed since then - nothing in technology stays the same. However the management were the point at issue and their approach was financially rewarding for them, in contrast to that of their shareholders who were left with the company shell while management left with the business, cash and shares (beyond everything contributed up to that point).
