I'm a Lakes shareholder and am not a shareholder in RAW. On the surface it appears not to be a good deal for RAW shareholders but I think other things are in play here and it all centers around a takeover of lakes at some future date. I have no doubt that the RAW board would have done their due diligence on lakes as i cannot believe any board would agree to a takeover of this type when there appears to be no benefit to the company/shareholders.I suspect both boards have information available to them that is not available to the general public and this would be concerning lakes court case against the victorian state govt. Lakes is sitting on huge gas reserves it is not allowed to drill for but if the court case is successful then the share price would skyrocket any any capital gain would far exceed any capital gain that RAW shareholders would experience in the next couple of years. I think the Lakes board is looking to expand its exploration leases which it has done and now has a handy collection of leases in Vic SA and Qld. Lakes will never have the capital to drill on all these leases but if capital could be raised to drill in a couple which should not be a problem and prove the extent of the gas fields then other players like Beach would come into the equation and a takeover offer could be made. This is what i suspect your board is aware of and this is the end game it is looking at.
