Is this possibly what all the delays were about (waiting for the expiration of the restrictions)?
If there is a deal it would definitely be easier to push it through without share holder approval for fear of a backlash, or just easier, quicker and cheaper in the long run anyway.
My opinion, an announcement to follow very shortly.
