It's because a placement to soffs is so much easier and quicker. A SPP or Rights issue which is so much fairer for holders takes much more effort and time - one even needs a Prospectus. Holders need to ask company if they are not being paid enough (salary and generous performance bonuses and options) to spend the time doing the right thing by their principle stakeholders, their share holders. Just IMO, I am not a stirrer.
