These guys tried to transfer this company a few years ago until Bloomfinance and others investors got ASIC to investigate and noticed they were going to transfer the company to a basically bankrupt Vietnamese company....which PALA controlled...
That was stopped, and now they are trying a different angle and the majority of shares appear to have been voted in favour of letting PALA do what they want. Which is JUST WHAT THEY WERE HOPING THE shareholders would do.

You were told that the deal was unfair (but reasonable). REasonable means that other deals like this are conducted all the time.
UNFAIR....means just that UNFAIR
