I am not sure if your question is rhetorical or not.

As per the announcement, "The retail component of the Entitlement Offer, which has been fully underwritten, will raise approximately afurther $1.1 billion."

So if the share price stays below or around the the issue price and retail holders don't take up the issue, then the underwriters will have to find institutional buyers for the stock that they have agreed to cover or else the underwriters will have find the funds themselves and then offload the stock as best they can.
