Incentive options are still tax effective as long as they are sufficiently out of the money when they are issued. There is nothing wrong with that - otherwise they wouldn't be an incentive.
On Posse v Centaurus, they are in different locations on opposite sides of Belo Horizonte. Posse is next to a national park perhaps this is the reason for the delay.
