Certainly a mistake to try and do this in 45 days, but often these tight deadlines are given to make sure all parties are motivated (though everyone knows it will be extended)
I have worked similar kinds of deals and things tend to get extended 2,3,4 times. Agreeing to terms and risk allocation is very tough. Legal documentation and tidying up the rats and mice takes a long time.
Certainly a mistake to try and do this in 45 days, but often...
