4.2 Within a reasonable time post ASX listing the Company will occupy a new manufacturing facility to meet the needs of design, production, assembly and distribution.

• All costs relating to the IPO prospectus, professional fees and all other costs and expenses relating to the IPO offer shall be paid by the seed capital raised by Conidi and Pertile.
• Conidi and Pertile will deploy best endeavours to ensure that the application/lodgement of the prospectus with the ASX for IPO funding be made by or on 1 August 2014.
• Conidi and Pertile will be responsible in raising the appropriate seed capital during the IPO process. The pricing and quantum of stock issued will be determined by Conidi and Pertile.
• Conidi and Pertile will have final say in allocating all seed capital.
• Conidi and Pertile will utilise the network the expertise to market and distribute the stock to all potential investors at IPO. This may include the engagement of a licensed broker to distribute and create the necessary spread and after IPO support.
