I dont really see what the big issue is, provided the shares issued are held for the long term which i assume they will as they're going to existing holders. At least its not one of those raisings that always go to new sophisticated and institutional investors.

Now that the Azuay project is 100% owned funds are obviously needed. Either raise capital or next you will be complianing that management not progressing development quickly enough.

"Not a good sign of how small shareholders are likely to be treated" - to raise questions over management about a $2 mill fundraising is a little dramatic.

This is the same management that is also excercising options early which avoids an even larger CR and more dilution to you.

"The whole system is a sham..." why are you particapting in the market if you think its such a sham? They're only manipulators if your allowing yourself to be manipulated.
