People are getting a 25% premium (assuming EAR holds 22c) AND the massive upside to combined entity. Why not happy?

What, you would prefer EAR to go prove up 1M ozs at Julkius (which they will) then decide they dont need MKO after all and go build their own plant, or worse, shop for a cheaper TT deal...or WORSE, get taken out by NST or some such? Leaving MKO to miss out completely (and as you can see int he ann I have fair few of MKO).
