As I said (and again completely hypothetical), the valuation will be done independently. It will be done FOR the company intending to make the acquisition. The Target company's board will then recommend (likely) or reject (unlikely) any offer based on that valuation...they may decide to get their own valuation (unlikely) before making this decision. The target's shareholders will then make their own decision.
As I have said before, the majority of the larger MKO shareholders are also EAR shareholders (I'm trying to get a Top 20 for EAR atm). So its pretty obvious to see how this is going to play out.
