    The remaining 4,200,000 shares have been issued to a nominee of a party for expected​
    future services under an agreement.

    Seems as though Carl has taken shares as a Non Executive Director Fee and they are confident a deal will get done.

    Read between the lines a Win Win for everyone. IMHO.
