Yes that clause has no impact on TOP, just OVH.
I highly doubt DVA would give OVH permission to acquire stock on-market at a discount to the bid price. Whether they like OVH or EQT or anyone else better, their first job is to get the best value for DVA shareholders, not give OVH a leg-up
