Neville Bassett: ' Look Bronwyn, this continues to a very awkward situation. You were voted off the Board by a majority of eligible voters. You should not even be here. Therefore, to respect those shareholders, I cannot accept your motion. You are not a director.'
Bronwyn: 'Be that as it may Neville, Mr Fotios contracted with the company back in November 2016 when he invested via a cap raising that he would be entitled to appoint a representative on the Board. The then Board members agreed, and so he appointed me.
Neville: 'Even though I was not on that Board, I do acknowledge that fact. However, and as you well know, I was voted in as your replacement - if I can put it that way. Therefore, you are a persona non grata here. You have no audience.'
Bronwyn: 'But Michael says that he is still entitled to a have a rep on the Board, and as you should know Neville, since his first investment he has substantially increased his holding in the company, so it's more the case now that he should have must have a rep, and I'm it.'
Neville: ' I make no admission about this, but let's assume that he does have a contractual right to have a rep on the board - provided of course that he retains a decent percentage holding - the person cannot be you. You have been voted off the Board.'
Bronwyn: ' But I am entitled to stay here as his proxy until he replaces me, and he tells me every day that he must have someone he trusts and knows will do his talking and that he can't find anyone better than myself. He therefore wants me to stay indefinitely until he finds someone eminently suitable Neville.'
Neville: 'You cannot stay forever, but even if you come in for every meeting from now on until you are replaced, you will continue to have no say and no vote as
you are not a Director.'
...… and so it continues to go I guess.
C'mon Michael, do the right thing and replace Bronwyn pronto; no more procrastination please.
Question: How many board people are getting paid? 4 or 3! It should be 3, as it was before the vote.
